Bankruptcy Trustee to Conduct Sale of Much of Computer Learning Center Assets

Trustee retains Tranzon Fox to facilitate sale of 25 Schools

February 12, 2001 - H. Jason Gold, the appointed Trustee overseeing the liquidation of Manassas, VA-based Computer Learning Center, Inc. ("CLC")announced today that he had retained Tranzon Fox, the noted auction and sales firm, to solicit sealed bids on the sale of a majority of the assets of CLC.

Nationwide, the Computer Learning Center has 26 locations, including its corporate office, in 11 states. "The assets being offered for sale through sealed bid include the leasehold interests in approximately 800,000 sq ft of office space, over six thousand 1999 and 2000 computers mostly used for classroom training, hundreds of printers, valuable domain names, and thousands of pieces of office furniture and trade fixtures," according to Stephen Karbelk, Vice President, Tranzon Fox. Tranzon Fox is an affiliate of Tranzon, LLC, a nationwide auction company with 12 offices and 45 associates.

"We turned to Tranzon Fox because of its experience and professionalism in conducting fast and efficient sales," commented Gold, Chapter 7 Trustee. Gold is a partner with Gold Morrison & Laughlin PC, a McLean, VA based restructure and insolvency law firm. "It's the combination of tangible and intangible assets that can create real value for a buyer. They will have the opportunity take over CLC locations at a price significantly below CLC's original cost."

Prospective buyers will have the ability to submit sealed bids on the assets "As a Going Concern", as a "Turn Key" location, and on the "Furniture, Fixtures & Equipment Only". The three bidding categories give the opportunity for many different types of buyers with different needs, such as other computer education and supplemental learning companies, computer dealers, and schools systems in need of computers, to bid on the equipment in a fair and competitive bidding process.

Buyers can submit bids on as many locations they are interested in. All bids are due to the Trustee's office with the required deposit by Monday, March 5, 2001 by 5:00pm EST. Bidders must contact Tranzon Fox for a bidders package so they can submit bids according to the terms and conditions of the offering.

The assets will be available for inspection during select times only from Monday, February 26th to March 1st. The exact date and time of the inspections for each location will vary. Also available will be the Sealed Bid Package, provided on CD, that will have the available information about the offerings, including lease term sheets, photographs of assets, computer equipment inventory counts for each location, furniture and fixture inventory counts for each location, bidding instructions, and any other appropriate information. These packages are available by visiting www.tranzon.com or by calling 800-868-0458.
